About these terms

These Terms of Service ("Terms") apply to your use of alioca.com (the "Site") and to how we work with clients. Alioca is a product of Hallridge Holdings LLC, a Wyoming limited liability company ("Alioca", "we", "us" or "our"). By using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

Who we are

Alioca is a selective development and traction partner for founders and solopreneurs. We work through specialist remote teams and active project leadership, add intelligent layers when they matter, and our clients keep full ownership of what is built. We take on selective engagements and also build and operate our own platforms.

Using the Site

You may use the Site to learn about Alioca and to contact us. When you use the Site, you agree not to:

  • use it in any way that breaks the law or infringes anyone's rights;
  • try to gain unauthorised access to the Site, its servers or any connected system;
  • introduce malware, or interfere with or disrupt the Site;
  • scrape, copy or reuse Site content at scale without our written permission;
  • send spam, misleading or abusive messages through our contact form.

The Site content is provided for general information only. It is not a binding offer to provide services, and it may change at any time.

Our content and brand

The Site, including its text, design, graphics and the Alioca name and logo, belongs to Hallridge Holdings LLC or its licensors. You may view and share pages for personal or internal business purposes, but you may not reproduce or use our content or brand for any other purpose without our written permission.

How engagements work

We agree every engagement individually. We do not sell services through the Site, and there are no published prices or online checkout. Any project is governed by a separate written proposal or statement of work ("SOW") agreed between you and us. The SOW sets out the scope, deliverables, timeline, fees, payment terms and any project-specific terms.

If anything in an SOW conflicts with these Terms, the SOW takes priority for that project. These Terms fill in anything the SOW does not cover.

We are selective about the work we take on. Contacting us, or receiving a proposal, does not create an obligation on either side until an SOW is agreed in writing.

Fees and payment

Fees, deposits, milestones and payment methods are set out in each SOW. Payment is made as described in the SOW. Unless the SOW says otherwise, invoices are due within 14 days of the invoice date. Refunds are covered by our Refund Policy and the relevant SOW.

Ownership of work

Our clients keep full ownership of what we build for them. Unless the SOW says otherwise:

  • ownership of the intellectual property in the deliverables created specifically for you passes to you under the SOW once you have paid the fees for those deliverables in full;
  • you keep all rights in the materials, data and content you provide to us, and you give us permission to use them only to carry out the project;
  • we keep ownership of our pre-existing tools, know-how, templates and general methods, and of third-party or open-source components. Where these form part of a deliverable, you receive a licence to use them as part of that deliverable, on the terms set out in the SOW or the relevant third-party licence.

Unless you opt out in writing, we may name you as a client and describe the work we did for you in general terms, for example on the Site, in proposals or as a reference. We will never disclose your confidential information when doing so.

Confidentiality

Each of us will keep the other's confidential information private and use it only for the engagement. This does not apply to information that is already public, was already lawfully known to the recipient, is independently developed, or must be disclosed by law. These obligations continue after the engagement ends. An SOW or separate non-disclosure agreement may add to these terms.

Your responsibilities as a client

For engagements to go well, you agree to provide timely information, access, feedback and approvals as set out in the SOW, and to make sure that anything you give us is yours to share and lawful to use. Delays in providing these may affect timelines and fees.

No guarantee of outcomes

We bring care, skill and active leadership to every project, but we cannot guarantee commercial results. We do not promise any particular revenue, growth, traction, funding, ranking or other business outcome. Any projections or examples we share are for illustration only.

Disclaimer

The Site is provided "as is" and "as available". To the fullest extent the law allows, we make no warranties about the Site, including that it will be uninterrupted, error-free or free of harmful components. Warranties for project work, if any, are set out in the SOW.

Limitation of liability

To the fullest extent the law allows:

  • we are not liable for any indirect, incidental, special or consequential loss, or for loss of profits, revenue, data, goodwill or business opportunity;
  • our total liability arising from the Site is limited to USD 100;
  • our total liability arising from an engagement is limited to the fees you paid us under the relevant SOW in the 3 months before the claim arose, unless the SOW sets a different limit.

Nothing in these Terms limits liability that cannot be limited by law, such as liability for fraud. If you are a consumer, you may have rights under local law that these Terms do not affect.

Indemnity

You agree to cover any reasonable losses and costs we incur because of your misuse of the Site, your breach of these Terms, or materials you provide to us that infringe someone else's rights.

Links to other sites

The Site may link to websites we do not control. We are not responsible for their content or practices.

Termination

We may suspend or restrict access to the Site if you misuse it. Either party may end an engagement as set out in the SOW. If the SOW is silent, either party may end it with 30 days' written notice. You will pay for work performed and costs committed up to the end date, as described in our Refund Policy. Sections that by their nature should continue, such as ownership, confidentiality, limitation of liability and governing law, survive termination.

Changes to these terms

We may update these Terms from time to time. The "Last updated" date at the top shows when they last changed. Changes apply from the date they are posted. They do not change the terms of an SOW that has already been agreed, unless both parties agree in writing.

Governing law

These Terms, and any dispute arising from them or from the Site, are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-law rules. The state and federal courts located in Wyoming have exclusive jurisdiction, unless the law where you live gives you a non-waivable right to bring a claim in your local courts.

General

If any part of these Terms is found to be unenforceable, the rest remains in effect. If we do not enforce a right straight away, we have not waived it. You may not transfer your rights under these Terms without our consent. These Terms, together with any SOW, are the entire agreement between us on their subject.
